OPC Telescope End User License Agreement

This End User License Agreement ("Agreement") is between you (an individual, or the organisation on whose behalf you install or use the software) and Thingamatronics. It covers OPC Telescope, including its executable code, installers, documentation and any updates Thingamatronics provides (together, the "Software").

By installing, copying or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License grant

Thingamatronics grants you a free, non-exclusive, non-transferable, non-sublicensable license to install and use the Software, for personal or commercial purposes, on any number of devices that you or your organisation own or control. The license lasts until it is terminated under section 9. You may make copies of the Software only as needed for that use and for backup.

2. Restrictions

Except as this Agreement expressly allows, you may not:

distribute, publish, sell, rent, lease, lend, sublicense or otherwise make the Software available to any third party, including by hosting it for others or bundling it with other products. Others may get the Software only from Thingamatronics or its authorised channels;
reverse engineer, decompile or disassemble the Software, or try to derive its source code, except to the extent applicable law expressly permits this despite this restriction;
modify, adapt, translate or create derivative works of the Software;
remove, alter or hide any copyright, trademark or other proprietary notice in the Software;
bypass or disable any license check or feature limit in the Software.

3. Third-party components

The Software includes open-source components that are licensed to you under their own licenses, not under this Agreement. They are listed, with their license texts, in the THIRD-PARTY-NOTICES file shipped with the Software and shown under About → Third-Party Notices. Nothing in this Agreement limits any right those licenses give you. Where a component's license requires its source code to be made available, the notices say where to get it.

4. Ownership

The Software is licensed, not sold. Thingamatronics and its licensors keep all right, title and interest in the Software, including all intellectual property rights. Thingamatronics reserves every right not expressly granted in this Agreement.

5. Updates and future editions

Thingamatronics may release updates, new versions or additional editions of the Software, including paid editions, under this Agreement or under separate terms. Thingamatronics is not required to provide support, maintenance or updates.

6. Use with industrial systems

The Software connects to OPC UA servers and can write values to them. You are responsible for how you use it, including any value you write to a connected system, and for making sure your use is safe and authorised. The Software is not designed or certified for use as a safety system or as the sole means of controlling equipment where a failure could cause death, personal injury, or damage to property or the environment.

7. No warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THINGAMATRONICS OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PRODUCTION, PROFITS, REVENUE OR BUSINESS, OR FOR ANY EQUIPMENT DAMAGE OR PROCESS DISRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SOFTWARE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THINGAMATRONICS' TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE. SOME JURISDICTIONS DO NOT ALLOW THESE EXCLUSIONS OR LIMITATIONS, SO THEY APPLY TO YOU ONLY TO THE EXTENT THE LAW ALLOWS.

9. Termination

This Agreement ends automatically if you breach it. You may end it at any time by deleting all copies of the Software. When it ends, you must stop using the Software and delete all copies. Sections 3, 4, 7, 8 and 10 survive termination.

10. General

You must comply with all export control and sanctions laws that apply to your use of the Software. This Agreement is the entire agreement between you and Thingamatronics about the Software and replaces any earlier license for it, including the OPC Telescope beta license. If any provision is held unenforceable, it will be enforced to the maximum extent possible and the rest of the Agreement stays in effect. A failure to enforce a provision is not a waiver of it.
